Terms of Service

Please read these terms carefully before using our services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Kemetology ("Company," "we," "us," or "our") governing your access to and use of our website, services, and products.

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access our website or use our services.

These Terms are governed by and construed in accordance with:

  • Egyptian Civil Code (Law No. 131 of 1948)
  • Egyptian Commercial Code (Law No. 17 of 1999)
  • Egyptian Consumer Protection Law (Law No. 181 of 2018)
  • Egyptian E-Commerce Law (Law No. 151 of 2020)
  • European Union regulations where applicable to EU clients

2. Definitions

In these Terms, the following terms shall have the meanings set forth below:

  • "Services" means IT infrastructure services, surveillance system installation, network solutions, equipment supply, and related consulting services provided by Kemetology.
  • "Products" means IT equipment, hardware, software, and supplies sold by Kemetology.
  • "Deliverables" means any work product, documentation, or materials created by Kemetology for the Client.
  • "Confidential Information" means any proprietary or sensitive information disclosed by either party.
  • "Service Agreement" means the specific contract between Kemetology and the Client for services.

3. Scope of Services

3.1 Services Offered

Kemetology provides the following B2B IT services:

  • Network infrastructure design, installation, and maintenance
  • Surveillance and security system installation
  • Low current systems implementation
  • IT equipment and supplies procurement
  • Technical consulting and support services
  • Printing solutions and supplies

3.2 Service Agreements

Specific services shall be detailed in individual Service Agreements that include:

  • Scope of work and deliverables
  • Timeline and milestones
  • Payment terms and pricing
  • Warranty provisions
  • Service level agreements (SLAs)

4. Orders and Acceptance

4.1 Quotations

All quotations provided by Kemetology are valid for 30 days unless otherwise specified. Quotations are not binding offers and are subject to change based on project requirements and material costs.

4.2 Order Acceptance

An order is deemed accepted when:

  • Kemetology issues a written confirmation of the order, or
  • Kemetology commences work on the project, or
  • Kemetology delivers products or services

4.3 Changes to Orders

Any changes to accepted orders must be agreed upon in writing. Changes may affect pricing, timeline, and deliverables. Kemetology reserves the right to adjust pricing for changes requested after order acceptance.

5. Pricing and Payment

5.1 Pricing

Prices are quoted in Egyptian Pounds (EGP) unless otherwise specified. Prices may be adjusted due to:

  • Changes in scope of work
  • Fluctuations in material costs
  • Currency exchange rate changes (for imported goods)
  • Changes in applicable taxes or duties

5.2 Payment Terms

Unless otherwise agreed:

  • Projects: 50% advance payment, 50% upon completion
  • Equipment: Full payment before delivery
  • Services: Net 30 days from invoice date

5.3 Late Payment

Late payments shall incur interest at the rate of 2% per month or the maximum rate permitted by Egyptian law, whichever is lower. Kemetology reserves the right to suspend services for overdue payments.

5.4 Taxes

All prices exclude applicable taxes including but not limited to:

  • Value Added Tax (VAT)
  • Withholding tax
  • Import duties and customs
  • Stamp duty

6. Delivery and Installation

6.1 Delivery

Delivery times are estimates and not guaranteed. Kemetology shall not be liable for delays caused by:

  • Force majeure events
  • Client delays in providing access or information
  • Third-party supplier delays
  • Government permits or approvals

6.2 Installation

Installation services are subject to:

  • Site readiness as specified in the Service Agreement
  • Client providing necessary access and permissions
  • Compliance with local building and electrical codes

6.3 Acceptance of Deliverables

The Client shall inspect deliverables within 5 business days of delivery or installation. Failure to report defects within this period constitutes acceptance.

7. Warranties

7.1 Workmanship Warranty

Kemetology warrants that all services will be performed in a professional and workmanlike manner. This warranty is valid for:

  • Installation Services: 12 months from completion
  • Network Infrastructure: 12 months from commissioning
  • Software Configuration: 90 days from delivery

7.2 Product Warranty

Products are covered by manufacturer warranties. Kemetology will assist with warranty claims but is not the warrantor. Manufacturer warranty terms apply.

7.3 Warranty Exclusions

Warranties do not cover:

  • Damage caused by misuse, negligence, or accidents
  • Unauthorized modifications or repairs
  • Normal wear and tear
  • Acts of nature (lightning, floods, etc.)
  • Third-party software or equipment not provided by Kemetology

8. Limitation of Liability

Important: This section limits our liability. Please read it carefully.

8.1 Consequential Damages

To the maximum extent permitted by Egyptian law, Kemetology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data or business information
  • Business interruption
  • Loss of business opportunity

8.2 Liability Cap

Kemetology's total liability under any claim shall not exceed the total amount paid by the Client for the specific service or product giving rise to the claim.

8.3 Exceptions

These limitations do not apply to:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Liability that cannot be limited under Egyptian law

9. Intellectual Property

9.1 Client Materials

The Client retains all rights to materials provided to Kemetology. Kemetology may use such materials only for the purpose of providing services.

9.2 Deliverables

Upon full payment, the Client receives ownership of custom deliverables created specifically for the project. Kemetology retains:

  • Pre-existing intellectual property
  • Methodologies, tools, and processes
  • Right to use deliverables in portfolio (with Client consent)

9.3 Third-Party Software

Third-party software and equipment are subject to their respective licenses. The Client must comply with all such license terms.

10. Confidentiality

Both parties agree to:

  • Keep confidential information strictly confidential
  • Use confidential information only for the purpose of the engagement
  • Not disclose confidential information to third parties without consent
  • Protect confidential information with reasonable security measures

This obligation survives termination for a period of 5 years.

11. Data Protection

Both parties agree to comply with applicable data protection laws including:

  • Egyptian Data Protection Law (Law No. 151 of 2020)
  • General Data Protection Regulation (GDPR) for EU clients

12. Termination

12.1 Termination for Convenience

Either party may terminate a Service Agreement with 30 days written notice. In such case, the Client shall pay for all work completed and non-cancellable commitments made by Kemetology.

12.2 Termination for Cause

Either party may terminate immediately if:

  • The other party materially breaches these Terms and fails to cure within 14 days of notice
  • The other party becomes insolvent or files for bankruptcy
  • The other party ceases operations

12.3 Effect of Termination

Upon termination:

  • All outstanding invoices become immediately due
  • Confidential information must be returned or destroyed
  • Warranties for completed work survive termination

13. Force Majeure

Neither party shall be liable for delays or failures in performance caused by:

  • Natural disasters (earthquakes, floods, pandemics)
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Labor strikes or disputes
  • Supply chain disruptions beyond reasonable control

The affected party shall notify the other within 7 days and make reasonable efforts to mitigate the impact.

14. Dispute Resolution

14.1 Negotiation

Parties shall first attempt to resolve disputes through good faith negotiation within 30 days.

14.2 Mediation

If negotiation fails, parties may refer the dispute to mediation under the Cairo Regional Centre for International Commercial Arbitration (CRCICA) rules.

14.3 Arbitration

If mediation fails, disputes shall be resolved by binding arbitration in Cairo, Egypt, under CRCICA rules. The arbitration shall be conducted in Arabic or English as agreed. The decision of the arbitrator(s) shall be final and binding.

14.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law principles.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any Service Agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

15.2 Amendments

These Terms may be amended only by written agreement signed by both parties.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

15.5 Assignment

The Client may not assign these Terms without prior written consent. Kemetology may assign to an affiliate or successor.

15.6 Notices

All notices shall be in writing and delivered to:

  • Kemetology: info@kemetology.com
  • Client: The email or address provided in the Service Agreement

16. Consumer Rights (Egyptian Law)

In accordance with Egyptian Consumer Protection Law (Law No. 181 of 2018), consumers have the right to:

  • Receive goods and services that meet quality standards
  • Clear and accurate information about products and services
  • Replacement or refund for defective products within warranty period
  • File complaints with the Consumer Protection Agency

17. EU Client Rights

For clients in the European Union, the following additional rights apply:

  • Right to withdraw from distance contracts within 14 days (where applicable)
  • Protection under EU consumer protection directives
  • Access to EU dispute resolution platforms
